Terms of Service

Plain English summary: You get a 14-day free trial on every plan, no charge until day 15. Cancel any time by replying to any email — no forms, no questions. We own the platform; you own your data. Section 1

Acceptance of Terms

By creating an account or purchasing a subscription, you agree to these Terms of Service. If you are entering into these terms on behalf of a company or organization, you represent that you have the authority to bind that entity. These terms constitute a binding agreement between you and Capacera Inc., a Delaware corporation.

Section 2

The Service

Capacera Vantage provides business diagnostic tools including the Frictionless Technology Physical™ and additional Frictionless modules as they are released. Access is provided via subscription on a software-as-a-service basis.

We reserve the right to modify, add, or remove features at any time. We will notify subscribers of material changes by email with reasonable advance notice.

Section 3

Subscriptions and Billing

3.1 Free Trial

All plans include a 14-day free trial. Your payment method is collected at signup but not charged until day 15. You may cancel at any time before day 15 and you will not be charged.

3.2 Recurring Billing

After the trial period, your subscription renews automatically at the applicable rate — monthly or annually depending on your selected plan — until cancelled. You authorize Capacera Inc. to charge your payment method on each renewal date.

3.3 Pricing

Current pricing is displayed at capacera.com/vantage-subscription-plan-tiers-page. Introductory rates are available for a limited period and are subject to change. Existing subscribers will receive 30 days' advance notice before any price adjustment takes effect. Price adjustments take effect at your next renewal date following the notice period.

3.4 Annual Plans

Annual subscriptions are billed in full at the start of each subscription year. Annual plans are non-refundable after 14 days from the charge date.

3.5 Payment Failure

If a payment fails, we will retry the charge and notify you by email. Access may be suspended after two failed attempts. You can update your payment method at any time in your account settings.

Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period — you retain access through that date. To cancel, reply to any email from us or contact [email protected]. No forms, no notice period, no questions required.

We do not offer refunds on monthly subscriptions after the trial period. Annual subscriptions may be refunded on a pro-rated basis at our discretion within the first 14 days of the annual charge.

Section 5

Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to reverse engineer, copy, or resell any part of the platform
  • Input data you do not have the right to share
  • Attempt to gain unauthorized access to any other user's account or data
  • Use automated tools to scrape or extract data from the platform
  • Share your account credentials with individuals outside your licensed seat count

Your Data

6.1 Ownership

You retain ownership of all data you input into the platform, including your application inventory, stack information, and any other content you submit.

6.2 Our Use

We use your data to deliver the service and generate your diagnostic reports. We may use aggregated, anonymized data — with no personally identifiable or company-identifiable information — to improve our benchmark database and platform models. We will never sell your data to third parties.

6.3 Retention

Your data is retained for the duration of your subscription. Upon cancellation, your data is retained for 30 days and then deleted. You may request an export of your data at any time by emailing [email protected].

Section 7

Intellectual Property

The Frictionless Technology Physical™, Capacera Vantage platform, all reports generated by the platform, benchmark data, scoring models, and all related intellectual property are owned by Capacera Inc. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes.

You may share your individual diagnostic reports within your organization. You may not republish, resell, or distribute reports or platform output externally without written permission.

Confidentiality

We treat your business data as confidential. Our team accesses your data only as needed to provide support or resolve technical issues. We maintain appropriate technical and organizational measures to protect your data against unauthorized access. A full description of our data practices is available in our Privacy Policy.

Section 9

Disclaimers

The platform provides diagnostic information and recommendations for informational purposes. We do not guarantee specific business outcomes resulting from acting on our recommendations. The service is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

Section 10

Limitation of Liability

To the maximum extent permitted by law, Capacera Inc.'s total liability to you for any claims arising from your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages.

Section 11

Modifications to Terms

We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the service after that date constitutes acceptance of the updated terms. If you do not agree to updated terms, you may cancel your subscription before the effective date.

Section 12

Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of the State of Delaware.
